Guided Pathways End User Terms of Use
Welcome to the Guided Pathways website.
These Guided Pathways End User Terms of Use (“Terms of Use”) apply to the Software Tool (defined below) provided by Community Legal Education Ontario (“CLEO”) to you (referred to as “you” or “user”). The website is provided by CLEO as a free service.
By accepting these Terms of Use, you consent to the collection, use or disclosure of your personal information in accordance with the Privacy Policy.
Please make sure that you read these Terms of Use very carefully before you start using this website. Your "sign-in" to this website constitutes consent and acceptance of these Terms of Use. CLEO may change or update these Terms of Use at any time without notice. Please review the link on a regular basis for any changes. If you continue to use this service after the Terms of Use have changed, you will be deemed to have accepted and consented to any changes.
Your privacy is important to us. As part of our Terms of Use, we will keep your personal information private in accordance with our privacy policy, available at https://www.cleointeractivehelp.ca/Login/PrivacyPolicy.aspx (“Privacy Policy”). Any personal information provided through the website will be considered confidential and, except as set out in the Privacy Policy, we will not share your personal information with any third party, except if we are required to do so by law or as set out in the Privacy Policy. Our servers on which your personal information reside are located in Canada. Please read our Privacy Policy before you accept these Terms of Use.
Our Privacy Policy explains:
- what personal information we collect and why we collect it;
- how we use your personal information;
- who we share your personal information with; and
- the choices you have to access, update, and remove your personal information from the Software Tool.
(1) Software Tool
The Guided Pathways website and the tools and functionality available through this website (the “Software Tool”) is provided by CLEO as a free service to help people understand the law and legal processes in Ontario and to fill out the forms that must be filed with a court or tribunal for a specific number of legal processes. Through the Software Tool, you will be asked a series of questions about your personal information and then complete the forms that you need to file with a court or tribunal. Subject to the terms and conditions in these Terms of Use, CLEO will:
(a) provide you with access to the Software Tool through this internet accessible portal site, available at https://www.cleointeractivehelp.ca/Login/Login.aspx?OrganizationID=130;
(b) provide the Software Tool free to all users and guests and those who set up user accounts through the Software Tool;
(c) use reasonable efforts to provide access to the Software Tool seven days a week and 18 hours a day, subject to maintenance, repair, support and system updates. CLEO cannot guarantee that the Software Tool will be available at all times and reserves the right to modify the Software Tool or cease providing the Software Tool altogether; and
(d) maintain the privacy of your personal information as set out in the Privacy Policy and these Terms of Use.
CLEO tries to make sure that the information on this Software Tool is correct and up-to-date, but laws change from time to time and we make no warranty as to the accuracy, validity, timeliness, or completeness of any information on the Software Tool. Please read the detailed disclaimer warranty and liability terms below.
Before you make any decisions, you should check any information provided by this Software Tool with a lawyer to make sure it is correct.
(2) Technical Support
If you have technical difficulties, please send an email to support@cleo.on.ca and we will use reasonable efforts to respond to your request within 2 business days. We cannot guarantee that we can solve all technical issues with the Software Tool or that we can get back to you within this timeframe.
(3) User Information and Accounts
The Software Tool allows you to register for a user ID and password to create a user account and access and use the Software Tool.
Some functionality within the Software Tool, including the capability of storing your personal information, to resume or reuse later, and using your personal information to complete certain forms, requires you to have a user account. If you do not set up a user account, you will be able to complete relevant forms during your session, but, if you end your guest session, you will have to re-enter your information.
To create an account you have to give personal information necessary for authentication and select a username and password ("Login Credentials"). Login Credentials must reflect complete and accurate information about you, and you must update it if any of the information provided changes.
By creating an account you agree to only use the Login Credentials when accessing the Software Tool. You agree:
(a) to not let any other person use your account to access the Software Tool;
(b) to keep your username and password confidential; and
(c) to report any breaches of security to CLEO as soon as possible by emailing support@cleo.on.ca. An example of a breach would be if you became aware that someone else was using your Login Credentials.
The Software Tool has a “Forgot Your Password” feature, and CLEO will try to retrieve this for you, where possible. We cannot guarantee that we will be able to retrieve your account. It is important that you keep
your Login Credentials safe and confidential. In the event of a breach of your account you may have to create a new account.
You can delete any forms or personal information that you have saved to the Software Tool. You can also delete your account at any time. CLEO may close your account or end your access to the Software Tool at any time for any reason, without giving you notice.
We reserve the right to remove any content, materials or information that you, we, or a clinic provides through the Software Tool at any time if we, in our sole discretion, deem that information, content or materials to be improper.
(4) Disclaimer of Legal Advice
The Software Tool does not provide you with any legal advice and CLEO is not your lawyer. Using the Software Tool does not create a lawyer-client relationship between you and CLEO.
CLEO has established the Software Tool for use by people in Ontario. The information provided through the Software Tool is general information about the law in Ontario only and CLEO cannot ensure that this information is always up to date.
This Software Tool cannot:
- provide advice or opinions or answer questions about your specific situation or inform you of claims, defenses or likely outcomes;
- advise you whether your answers are correct or whether your answers will help or hurt your case; and/or
- help you pick the correct legal forms for your situation or analyze what law applies to your situation;
- resolve your dispute or check your answers for errors or missing information.

When you have completed forms using this Software Tool, you should ask a lawyer to review them before you send them to the other party, the court or tribunal, or any other government agency or decision-maker.

(a) you understand that the Software Tool does not provide legal advice;
(b) you are not relying on any information provided by this Software Tool;
(c) no lawyer-client relationship or other fiduciary relationship will be created by your use of this Software Tool; and
(d) you will follow all laws applicable to you when using this Software Tool, including the laws of the Province of Ontario.
(5) Restrictions and Permitted Use
You cannot use this Software Tool to, and you agree that you will not:
(d) violate any law, rule or regulation;
(e) interfere with our website, including our services, computer systems, servers, networks, databases, software, hardware or equipment;
(f) interfere with others’ use of the Software Tool;
(g) try to gain access to the Software Tool using a method other than the interface and instructions we provide, including unauthorized use of logins and passwords or any other unauthorized access;
(h) harm, threaten, abuse, harass, breach a person’s privacy, or act in a manner that is hateful, discriminatory or wrongful in some other way;
(i) misrepresent your affiliation with a person or agency;
(j) impersonate a person or agency, including CLEO;
(k) collect or store personal data about other people, unless CLEO or the other people have authorized you to do so; and
(l) use the Software Tool for any commercial purpose.
(6) Cost, Online Services and Transactions
CLEO provides this service free of charge. We may provide you with access to other online CLEO services through this website, such as other “Guided Interviews”. Additional or different terms of use may apply to certain services or transactions. You should carefully read additional terms and conditions that apply before using that service. If there are additional terms and conditions, they will also apply. Where these Terms of Use differ from those additional terms and conditions, those additional terms and conditions will apply to the extent of the difference.
We may provide links from this service to third party websites or online services not administered or controlled by CLEO. These websites or online services may have different terms of use. We make no claims as to the accuracy, usefulness or adequacy of these websites or online services, and links to them do not mean that we are affiliated with them or endorse them. Please read any applicable third party terms of use and privacy policies carefully.
(7) Ownership and Licensing
All intellectual property rights in and to the Software Tool, and all content, training materials, documentation and trademarks available through the Software Tool are owned by CLEO or its licensors. Nothing in this Agreement or your active use of the Software Tool gives you any intellectual property rights in the Software Tool or the content you access. Notwithstanding the foregoing, if you are accessing the Software Tool through a legal clinic, such clinic may be the owner or licensor of the materials provided. CLEO has no responsibility whatsoever for such clinic-controlled content.
In accordance with these Terms of Use, CLEO grants you a non-exclusive, non-transferable right and license to access and use the Software Tool for you own personal non-commercial use in accordance with these Terms of Use.
(8) Warranty Disclaimer
CLEO CANNOT SUPPORT THIS WEBSITE WITHOUT THE IMPORTANT LEGAL DISCLAIMERS OF WARRANTY AND LIABILITY SET OUT BELOW. CLEO AND ITS HOSTING SERVICES PROVIDER, DISCLAIMS ALL WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PLEASE READ THIS SECTION CAREFULLY.
While every effort is made to ensure that the Software Tool, information and materials contained in this site are accurate, including text, graphics and other items, they are provided on an "as is" and “as available” basis. CLEO does not warrant the accuracy, adequacy, timeliness, or completeness of this information and materials, and expressly disclaims liability for errors or omissions in this information and materials. No warranty of any kind, implied, express, or statutory, is given in conjunction with the information and materials.
You must not rely on any content published on or linked to this website without first making your own enquiries to verify if it is accurate, current and complete. CLEO does not make, and expressly disclaims, any representations, warranties, covenants and conditions, express or implied, arising at law, including any express or implied warranties and conditions of: merchantability; merchantable quality; title; fitness for a particular purpose; non-infringement; quality; freedom from defects or that defects will be corrected; virus-free or error-free use of this website; or correctness, reliability, completeness or appropriateness with respect to the content of this website and available through the Software Tool, including any A2J Guided Interview or document.
Neither CLEO nor its hosting services provider, warrants that the website or the Software Tool: (i) will meet your requirements; (ii) will be reliable, accurate, authentic, current, or complete; (iii) will operate and be available without interruptions; or (iv) will be free of malware or other harmful components.
(9) Limitation of Liability
Under no circumstances will CLEO and its employees, agents, service providers including its hosting services provider, and independent contractors have any responsibility or liability for any loss or damage whatsoever (including without limitation direct, indirect, special, incidental, consequential, punitive, exemplary or other damages, and including without limitation to any loss of profit, costs, expenses, harm to business, business interruption, reputation, loss of information or programs or data, loss of savings, loss of revenue, loss of goodwill, loss of tangible or intangible property, legal fees or legal costs, wasted management or office time or damages of any kind whatsoever), whether based in contract, tort, negligence or any other legal basis, arising out of or in connection with the Software Tool, the website, any linked website (including without limitation any damages suffered as a result of the use, inability to use, failure of, or any omissions or inaccuracies in this website, any linked websites or linked social media platforms, or any of the services or content of the foregoing), even if CLEO has been specifically advised of the possibility of such damage or loss, or if such damage or loss was foreseeable. Regardless of whether such losses are deemed to be direct or indirect damages, CLEO is not liable to you for any damages relating to a loss of your data loss and you are responsible for backing up your data.
(10) Personal Information
By using the Software Tool, you consent to CLEO collecting and using your personal information to fill out your forms and documents in accordance with the Privacy Policy. If you set up a user account, you also consent to our storing your personal information in the Software Tool, including our use of third party providers to assist with such processing of personal information. We only collect the personal information necessary to fill out the forms or documents that you have selected for completion. We also have to save your personal information so that you can access or print any forms later. You can also access this information if you decide that you need to complete a different form. For more information about how we collect, use and disclose your personal information, please read our Privacy Policy. You may withdraw your consent at any time, subject to any legal restrictions, by deleting your personal information from your account profile or deleting your account from our website.
(11) Termination
CLEO may also stop providing access to this website and Software Tool at any time for any reason, without giving you notice.
(12) Security
CLEO provides this service in a technical environment that takes measures to protect the security of your personal and account information. CLEO has taken reasonable efforts to ensure users' security and privacy, but for security reasons we cannot share these with you. Users should be aware that the Internet is not a fully secure medium and neither the privacy of your communications nor the privacy of other site activities can be guaranteed. The nature of Internet communications means that your communications may be susceptible to data corruption, unauthorized access, interception and delays. Please read our Privacy Policy to see how we protect your privacy.
(13) Indemnification
Users will indemnify and hold CLEO and its officers, board of directors, staff, third party providers including its hosting services provider, agents and partners harmless from and against all claims, liability, and expenses arising out of the use of the Software Tool or your breach of any provision of these Terms of Use.
(14) General

If any term or condition set out in this Terms of Use is held to be invalid, unenforceable or illegal for any reason, the remaining terms and conditions will continue in full force. Any provision of these Terms of Use that by their nature and interpretation are intended to survive termination, including Section 13, shall survive termination or expiration of these Terms of Use.
These Terms of Use are governed by the laws of the province of Ontario. The parties irrevocably attorn to, and agree to submit to, the exclusive jurisdiction of the Courts of Ontario for the determination of any dispute concerning these Terms of Use.
